Terms and Conditions

Introduction

This Agreement constitutes the entire agreement between the Customer or Client, and Clearview Technologies International, CTI, for abbreviation purposes. The Customer or Client accepts, and agrees to be bound by, this Agreement.

Agreement to Terms and Conditions

This Agreement takes effect on the date on which the Customer or Client first uses the services provided by Clearview Technologies International, CTI, or when the Customer or Client pays, either in part or in full for their services, whichever is the earliest.

1.0 Services in this instance are defined to be design, consultancy, networking and training

1.1 Upon acceptance of order, a 50% deposit is required with the rest payable on completing the job or, if agreed, within twenty eight days of the invoice date, and as posted and sent out of the CTI offices.

1.2 CTI will work conscientiously and diligently with the client in ascertaining needs with regards to design content and layout, and envisaged development. Where this is unclear, CTI reserve the right to use judgment and discretion, in the interpretation of the design of Internet pages, and in relation to the material that we may receive from the client.

1.3 The client should provide an outline design brief and CTI will then prepare a storyboard web site to establish site design parameters to incorporate look, feel, navigation and content, (only on customised client and bespoke work). Otherwise, terms and conditions are specified as template work, upon acceptance of a storyboard, a further 20% of the value of the site is also required.

1.4 CTI will suggest and work towards suitable time scales for site completion, however, we shall not be held liable for missed deadlines, where it is deemed out of our control.

1.5 The client is required to pay a further instalment of 10% from the time of publication, the final instalment of 10% to be collected after a period of one month, and to allow for design amendments, to permit the client to track errors, omissions, and quality assure a site.

2.0 Maintenance

2.1 Maintenance charges are strictly through direct debit per month and invoiced, in advance, per annum.

2.2 Maintenance may be cancelled at any time by the customer, allowing 3 months prior notice.

2.3 Maintenance includes monthly submission to search engines, small textual changes to the client’s web site, help and support, and regular communication via phone calls or email.

2.4 Maintenance costs are negotiable depending upon the requirements and size of site.

2.5 While CTI strive to provide a comprehensive Internet marketing service, we cannot guarantee that every single Search Engine will index or list the web pages or web sites that are submitted to them by CTI.

3.0 Termination

CTI reserves the right to terminate or suspend the client's account without prior notice should the client fail to comply with the above stated terms and conditions or fail to pay an invoice in full as in the stated payment terms and as displayed on the invoice. The client is not to be entitled to any compensation whatsoever in the circumstances of a termination, and CTI will not be liable for any consequential loss whatsoever in relation to termination of the client's account, in any and all circumstances.

4.0 Charges

4.1 The client agrees to pay all charges for their use of services, at the prices agreed, and set in their contract.

4.2 All templates, web pages, scripts, databases, graphics or other digital products created by CTI remain the property of CTI until payment for such products is received in full.

4.3 Payment terms are strictly within 28 days, except payments for web design to be taken as per instructions laid out within the design services section or provided on a project written quotation basis.

4.4 CTI will invoice the client for any domain name and hosting renewal fees, as and when they may become applicable, as an integral part of any possible on going maintenance process and contractual arrangement entered into with the client.

Exclusion of Warranties and Limitation of Liability

CTI will at all times use its best endeavours to attempt to maintain an uninterrupted and error-free service, however CTI make no representations or warranties regarding the services provided by them and do not guarantee that use of CTI services will be uninterrupted or error-free.

CTI shall not be liable for any breach of this agreement caused by Act of God insurrection or civil disorder, war or military operations, national or local emergency acts or omissions of Government or other competent authority, industrial disputes of any kind (whether involving the Service Provider's employees or contractors), fire, lightning explosion, flood, subsidence, inclement weather, acts or omissions of persons or bodies from whom CTI is not responsible or any other case whether similar or dissimilar outside the scope of control of CTI.
